DALLAS, July 24, 2014 — AT&T has received approval from Brazil's antitrust regulator without restrictions for the company’s proposed acquisition of DIRECTV.  The U.S. state review process is also complete with no conditions.

On July 1, AT&T submitted a request for approval to the Brazilian Competition Commission (CADE).  No competition concerns were raised and CADE approved the filing on July 21.

On June 12, AT&T filed Petitions with the Public Service Commissions in Louisiana and Arizona asking them to decline jurisdiction or approve the merger.  No protests or interventions were filed in either state and the Petitions were deemed approved between July 7 and July 15.  On June 12, AT&T also filed an informational notice with the Hawaii Commission. 

If the merger is approved at the U.S. federal level, the combined companies will have an opportunity to redefine the video entertainment industry by delivering content to consumers across multiple screens – mobile devices, TVs, laptops, the backseat displays of connected cars, and even airplanes.  AT&T has also committed to expand and enhance its deployment of both wireline and fixed wireless high-speed Internet to cover at least 15 million customer locations across 48 states – most of them in underserved rural areas.
